1. Services Offered

Vince Servidad provides performance marketing strategy and execution services including:

  • Google Ads and Meta Ads strategy, management, and optimization
  • Performance creative strategy and testing
  • Conversion measurement and attribution implementation
  • Landing-page and funnel conversion rate optimization
  • Shopify paid-traffic and conversion consulting

2. Age Restriction

Our services are intended for individuals 18 years of age or older. Users under 18 must have parental consent to use our services. We do not knowingly provide services to individuals under 13 years of age.

3. Client Responsibilities

Clients agree to:

  • Provide accurate business information and access to necessary platforms
  • Grant appropriate permissions for advertising accounts and Shopify stores
  • Fund advertising budgets separate from service fees
  • Respond to communications and requests within reasonable timeframes
  • Comply with all applicable advertising policies and regulations including Facebook Advertising Policies, Google Ads Policies, and platform community standards
  • Ensure products/services marketed comply with all platform policies and regulations
  • Accept responsibility for any policy violations related to their products or services

4. Service Fees & Payment Terms

  • Service fees are separate from advertising spend
  • Payment terms are defined in individual service agreements
  • Client is responsible for all advertising spend with platforms (Facebook, Google, etc.)

5. Refund & Cancellation Policy

Our refund policy is as follows:

  • Service Fees: No refunds for completed work or work-in-progress unless otherwise specified in writing
  • Campaign Setup Fees: Non-refundable once campaign setup has begun
  • Advertising Spend: All advertising spend paid directly to platforms (Facebook, Google, etc.) is non-refundable and non-transferable
  • Cancellation Notice: Either party may cancel services with 30 days written notice as specified in the service agreement
  • Pro-Rated Refunds: Monthly retainer fees may be pro-rated for cancellations only if specified in the signed service agreement

6. Performance & Results

No Guarantees: While historical results and case studies are documented and shared for reference purposes, they represent past performance examples only and do not constitute guarantees of future results. Individual client results will vary significantly based on numerous factors including but not limited to:

  • Industry vertical and market conditions
  • Product quality, pricing, and competitive positioning
  • Brand reputation and customer trust
  • Budget allocation and advertising spend levels
  • Website conversion optimization and user experience
  • Seasonal trends and economic conditions
  • Platform algorithm changes and advertising policy updates
  • Quality of creative assets and ad copy

No ROAS Guarantees: No specific Return on Ad Spend (ROAS), revenue targets, or performance outcomes are guaranteed unless explicitly stated in a written and signed service agreement.

7. Advertising Platform Compliance

We are committed to full compliance with all advertising platform policies including:

  • Meta Advertising Policies: Adherence to Meta's Advertising Standards, Community Standards, and Commerce Policies
  • Google Ads Policies: Compliance with Google Ads policies including prohibited content, restricted content, and editorial requirements
  • Platform Community Standards: Respect for platform-specific community guidelines and terms of service
  • Client Product Compliance: Client is solely responsible for ensuring their products, services, and business practices comply with all platform policies and applicable laws
  • Right to Refuse Service: We reserve the right to refuse service or terminate agreements for products/services that violate platform policies or applicable regulations

8. Client Data Handling & Processing

When providing services, we act as a data processor on behalf of clients:

  • Data Processing Agreement: Available upon request for clients requiring formal DPA documentation
  • Third-Party Tools: Work may require Meta Business Suite, Google Ads, GA4, Google Tag Manager, Shopify Admin, and other tools agreed for the engagement
  • Data Breach Notification: In the event of a data security incident, we will notify affected clients within 72 hours of becoming aware of the breach
  • Data Portability: Clients have the right to receive their data in a structured, machine-readable format and to export campaign data at any time
  • Data Retention: Client campaign data is retained for the duration of service engagement plus an additional period as required by law or as specified in the service agreement

9. Intellectual Property

  • Client retains ownership of all brand assets, creative materials, and business information
  • Vince Servidad retains ownership of proprietary strategies, templates, and methodologies
  • Campaign data and insights may be used in anonymized case studies with explicit client permission
  • Upon termination, client receives all login credentials and maintains full access to all advertising accounts

10. Termination

Either party may terminate services with written notice as specified in the service agreement. Upon termination:

  • Client will receive all login credentials and complete account access
  • Fees for completed work remain due and payable
  • Advertising campaigns may continue running until client manually disables them
  • All client data will be securely transferred or deleted as requested

11. Limitation of Liability

Platform-Related Risks: Vince Servidad is not liable for:

  • Advertising platform policy violations resulting from client's products or business practices
  • Ad account suspensions or restrictions imposed by advertising platforms
  • Business losses resulting from platform algorithm changes or updates
  • Market condition changes, competitive landscape shifts, or economic downturns
  • Platform outages, technical issues, or service disruptions beyond our control
  • Changes in platform advertising policies that affect campaign performance

Maximum Liability: Our total liability under any service agreement is limited to the amount of service fees paid by the client in the 30 days preceding the liability event. This limitation does not apply to gross negligence or willful misconduct.

12. Policy Updates

We reserve the right to update these Terms of Service at any time. Changes will be posted on this page with an updated "Last Updated" date. We review and update our policies annually to ensure compliance with current regulations. For material changes, we will notify active clients via email at least 30 days prior to the effective date.

  • Analyze and optimize advertising performance across platforms
  • Create anonymized case studies and performance benchmarks (with your explicit permission)
  • Comply with legal obligations and enforce our agreements
  • Prevent fraud and ensure platform policy compliance
  • Send service updates, marketing communications, and promotional offers (with your consent)

3. Information Sharing & Third Parties

We do not sell your personal information. We may share information with:

  • Advertising Platforms: Meta and Google when access is required to deliver an agreed engagement
  • Site Measurement: Vercel Web Analytics and, when configured, Google Analytics and Meta Pixel
  • E-commerce Platforms: Shopify for store optimization services
  • Service Providers: Cloud hosting, email services, payment processors
  • Legal Compliance: Professional advisors, law enforcement, or regulatory authorities when legally required

4. International Data Transfers

Information may be processed in countries other than your country of residence, including the United States and the Philippines. Service providers used for hosting, analytics, communications, advertising, and commerce maintain their own data-processing terms and international-transfer safeguards.

5. Data Security

We use reasonable administrative and technical measures to protect information handled for the website and client engagements:

  • Encrypted data transmission using SSL/TLS protocols
  • Access restrictions and multi-factor authentication where supported
  • Limited access to client systems based on the work being delivered
  • Established third-party hosting, advertising, analytics, and commerce platforms

However, no method of transmission over the Internet or electronic storage is 100% secure. While we strive to protect your information, we cannot guarantee absolute security.

6. Data Retention

We retain your information for as long as necessary to:

  • Provide services and maintain your account
  • Comply with legal, tax, and accounting obligations (typically 7 years)
  • Resolve disputes and enforce our agreements
  • Maintain anonymized performance data for benchmarking and analysis

Upon request and after service termination, we will delete or anonymize your personal information unless retention is required by law.
